The terms for organizers using MijnEvent for their ticket sales.

# Article 1 — Parties

Who are the parties to this agreement?

1. This agreement is entered into between MijnEvent, a trade name of Coding Agency, registered in Meppel, Chamber of Commerce number 50814281 (hereinafter: "MijnEvent"), and the Organizer who registers on the Platform (hereinafter: "Organizer").
2. The agreement is established at the moment the Organizer completes their registration on the Platform and agrees to these terms.
3. The Organizer declares to be authorized to enter into this agreement on behalf of the organization they represent.

# Article 2 — Services

What does MijnEvent offer the Organizer?

1. MijnEvent provides the Platform to the Organizer for presenting events and selling tickets online to Visitors.
2. The Organizer receives their own subdomain on MijnEvent (e.g., organizationname.mijnevent.nl) where their events are presented.
3. Via the Platform, the Organizer can: create and manage events, configure ticket types and prices, set service fees per ticket type, manage the check-in process, view sales statistics, and appoint inspectors for check-in.
4. MijnEvent processes payments via Mollie Connect, where the purchase amount is deposited directly into the Organizer's Mollie account.
5. MijnEvent provides technical support via email. The response time is a maximum of two business days.

# Article 3 — Organizer obligations

What is expected of you as an organizer?

1. The Organizer guarantees that the events offered on the Platform are actually organized and take place as announced.
2. The Organizer is fully responsible for the accuracy and completeness of the event information on the Platform, including name, date, location, description, and ticket prices.
3. The Organizer holds all necessary permits, exemptions, and insurance for organizing their events.
4. The Organizer connects a valid Mollie account to the Platform via Mollie Connect. Without an active Mollie connection, it is not possible to publish events.
5. The Organizer is responsible for customer service towards Visitors, including handling questions, complaints, and refunds.
6. The Organizer acts at all times in accordance with applicable laws and regulations, including gambling laws (if applicable), the GDPR, and consumer law.
7. The Organizer does not misuse the Platform, does not spread misleading information, and does not act in a manner that could damage MijnEvent's reputation.
8. The Organizer is responsible for the correct VAT regime applicable to their ticket sales and for paying the taxes due.

# Article 4 — MijnEvent obligations

What can you expect from MijnEvent?

1. MijnEvent strives for a Platform availability of 99.5% on an annual basis. This is a best-efforts obligation. Scheduled maintenance, security measures, force majeure, and outages attributable to a third party as referred to in Article 15 of the Terms of Service are left out of account.
2. Failure to meet this norm does not give the Organizer any right to a penalty, discount, refund, or compensation.
3. Scheduled maintenance is announced at least 48 hours in advance and preferably takes place outside peak hours. In urgent cases or in the event of a security risk, MijnEvent may intervene immediately without notice.
4. MijnEvent ensures the correct processing of transactions via the Platform and the Mollie Connect system.
5. MijnEvent provides technical support via email to the Organizer.
6. MijnEvent secures the Platform and the data processed on it in accordance with common industry standards and the GDPR.
7. MijnEvent timely informs the Organizer about changes in services, rates, or terms.

# Article 5 — Rates and payment

What costs are associated with using MijnEvent?

MijnEvent charges a Platform Fee that is settled via Mollie Connect (application fee). The fee amount depends on the chosen plan:

## Pay as you go

No fixed costs. Platform Fee of EUR 0.50 per paid ticket. Free tickets (price EUR 0.00) are exempt from the Platform Fee.

## Recurring Organizer

Fixed costs of EUR 14.95 once per published event. Platform Fee of EUR 0.25 per paid ticket.

## Enterprise

Individually agreed rate from EUR 0.01 per paid ticket, with an agreed annual minimum. If the total Platform Fees collected in a contract year fall short of this minimum, the difference is invoiced at the end of that year.

1. The default plan is Pay as you go. Plan changes are made in consultation with MijnEvent.
2. Fixed costs (such as the one-off event fee and any annual-minimum settlement) are invoiced via MijnEvent's own Mollie account — not via Mollie Connect.
3. All mentioned amounts are inclusive of VAT, unless otherwise stated.
4. Alongside a PDF, invoices are also available as a structured e-invoice in UBL 2.1, following the Dutch NLCIUS standard on EN 16931; sending over the Peppol network is not part of the service. The snapshot of the invoice data stored at the time of issue is leading for all amounts, so the e-invoice and the PDF cannot diverge. The Organizer remains responsible for the VAT treatment of their own invoices to Visitors.
5. MijnEvent reserves the right to change rates. Changes are announced at least 30 days in advance.
6. In case of late payment of invoices, MijnEvent may suspend the account after a reasonable reminder.
7. The Platform Fee is settled via the payment service provider insofar as this is technically supported. If a Platform Fee due cannot be collected in this way, or not in full, it is carried forward onto subsequent payments of the Organizer, or invoiced to the Organizer directly.

# Article 6 — Refunds, chargebacks, and shortfalls

Who bears the cost when money flows back or a balance falls short?

1. Refunds and cancellations towards Visitors are the responsibility of the Organizer, in accordance with Article 7 of the Terms of Service. MijnEvent cannot carry out a refund itself, because it does not hold the funds concerned.
2. Chargebacks and their consequences are for the account and risk of the Organizer. The same applies to the costs the payment service provider charges for them.
3. A later chargeback or refund does not cancel a Platform Fee already due. Costs and shortfalls arising from the event or from the Organizer's conduct are for the Organizer's account.
4. If an amount due cannot be collected via the payment service provider, MijnEvent invoices it to the Organizer directly. The outstanding amount is paid within fourteen days of the invoice date.
5. A shortfall or negative balance at the payment service provider is a matter between the Organizer and that provider. MijnEvent is not a party to it, cannot make up such a shortfall, and does not guarantee the collectability of amounts due to the Organizer.
6. MijnEvent may set off what it is owed by the Organizer against amounts it owes to the Organizer and against future Platform Fees. Set-off never takes place against Visitor funds; MijnEvent never holds those at any point.
7. If an Organizer's chargeback pattern points to a structurally elevated risk, MijnEvent may take measures in accordance with Article 8, and may ask the Organizer for additional security or for adjustments to its sales and refund policy.

# Article 7 — Organizer liability

What are you liable for as an organizer?

1. The Organizer is liable for all damages suffered by Visitors as a result of the Organizer's failure to fulfill the agreement entered into between the Organizer and the Visitor.
2. The Organizer indemnifies MijnEvent against claims, demands, and costs of third parties — including Visitors, regulators, rights holders, and the payment service provider, and including reasonable costs of legal assistance — arising from the Organizer's acts, omissions, or responsibilities. These include in any event claims relating to permits and exemptions, the safety of the event, the accuracy and completeness of the event information, copyright and other intellectual property rights, the processing of personal data, and other statutory obligations resting on the Organizer.
3. The indemnity in the preceding item applies insofar as the claim is reasonably attributable to the Organizer's acts, omissions, or responsibilities. It does not extend to damage resulting from intent or wilful recklessness on the part of MijnEvent.
4. The Organizer informs MijnEvent as soon as possible once it becomes aware of a claim, investigation, or enforcement measure affecting MijnEvent, and provides reasonable cooperation in mounting a defence.
5. If the Organizer's actions cause damage to MijnEvent, including but not limited to reputational damage, the Organizer is liable for this damage.

# Article 8 — Suspension and termination

When can the account be suspended or terminated?

1. MijnEvent may suspend the account or part of it with immediate effect in the case of: (suspected) fraud or deception; illegal activities; risks to the safety of Visitors or third parties; a serious payment or chargeback risk; a security incident; a statutory obligation or an instruction from a regulator; or a request or measure from the payment service provider. In the case of fraud, deception, or illegal activities, MijnEvent may also inform the police and other competent authorities.
2. For other shortcomings that can be remedied — including a breach of this agreement or the Terms of Service that does not constitute any of the grounds listed in the preceding item — MijnEvent first gives the Organizer written notice of default and allows fourteen days to remedy the shortcoming. If the shortcoming is not remedied, MijnEvent may suspend after all. This remedy period does not apply if delay cannot reasonably be expected of MijnEvent.
3. MijnEvent informs the Organizer of a suspension as soon as possible, stating the ground, and gives the Organizer the opportunity to respond. Once the ground no longer applies, the suspension is lifted.
4. During a suspension, the sale of new tickets is halted. Tickets already sold remain valid and check-in remains available, unless the ground for suspension is precisely what stands in the way of this — for instance in the case of fraud or a safety risk. The Organizer's obligations towards Visitors who already hold a ticket remain fully in force.
5. The Organizer may terminate their account at any time. Pending orders and sold tickets are handled according to the original terms.
6. Upon termination, the Organizer's data is retained for 30 days. After this period, the data is permanently deleted, unless legal retention obligations require otherwise.
7. Outstanding invoices or owed Platform Fees remain due even after termination.
8. MijnEvent may terminate this agreement with a notice period of 30 days, unless there is an urgent reason (fraud, abuse) that justifies immediate termination.

# Article 9 — Processing of personal data

How do we handle visitor personal data?

1. The Organizer is the data controller for the personal data of Visitors collected via their subdomain on the Platform.
2. MijnEvent acts as a data processor within the meaning of the GDPR. MijnEvent processes personal data exclusively for the purpose of providing services to the Organizer.
3. The parties conclude a data processing agreement that forms an integral part of this agreement.
4. The Organizer is responsible for informing Visitors about the processing of their personal data, in accordance with the GDPR.
5. Upon termination of the agreement, personal data is deleted in accordance with the retention policy mentioned in Article 8, unless legal retention obligations require otherwise.

# Article 10 — Confidentiality

How do we handle confidential information?

1. Both parties treat confidential information received from the other party in the context of this agreement as strictly confidential.
2. Confidential information includes, among others: financial data, customer data, technical information, and business strategies.
3. The confidentiality obligation continues to apply after termination of the agreement.

# Article 11 — Gift cards

Terms for selling and issuing gift cards through the Platform.

1. The Platform offers the Organizer the option to sell gift cards (credit vouchers) and to issue them free of charge. This functionality is optional and only becomes active after the Organizer has enabled it in the dashboard and has explicitly agreed to the gift card terms.
2. The Organizer is the seller and issuer of every gift card sold or issued through its environment. The purchase agreement is concluded between the Organizer and the buyer; MijnEvent merely facilitates the technical platform and is not a party to this agreement.
3. The proceeds of gift card sales are deposited directly into the Organizer's Mollie account through Mollie Connect. The holder of a gift card only has a claim against the Organizer — including when an event is cancelled or the Organizer ceases its activities.
4. The Organizer handles withdrawal requests in accordance with consumer law: consumers have a statutory fourteen-day cooling-off period on an unused gift card, in which case the Organizer refunds the full purchase amount.
5. Gift cards on the Platform have no expiry date by default. The Organizer may set a validity period of at least two years from issue, in line with the statutory minimum (Article 6:236 sub k of the Dutch Civil Code). A gift card tied to a specific event automatically becomes redeemable at all of the Organizer's events once that event has ended, so the credit remains usable throughout its full validity period.
6. After partial redemption, the remaining balance stays available for subsequent orders and does not lapse.
7. MijnEvent charges no fee on the purchase of a gift card. Upon redemption the regular flat fee per sold ticket applies in accordance with Article 5; if it cannot be collected through an additional payment, it is settled against a subsequent Mollie payment of the Organizer.
8. Upon termination of this agreement, the Organizer's obligations towards holders of outstanding gift cards remain in full force.
